Terms and Conditions for Google Business Profile Setup

The Business Club Inc.
Effective Date: Date of Purchase (must be manually entered)

1. Scope of Services

The Business Club Inc. (“Provider”) agrees to perform a one-time setup or optimization of the Client’s Google Business Profile (also known as Google Business Listing or GBP). Services may include:

• Claiming or verifying ownership of the GBP

• Completing and optimizing the profile with Client-provided business information

• Uploading logo, cover photo, and relevant business images

• Writing keyword-rich business descriptions and service listings

• Categorizing the business accurately

• Enabling messaging (if requested)

• Adding hours of operation, website, phone number, and service areas

This is a one-time service. Ongoing profile management, review generation, ranking maintenance, or updates are not included unless contracted separately.

2. Client Responsibilities

Client agrees to:

• Provide accurate, complete, and timely business information

• Supply necessary images, business licenses (if requested), and verification documents

• Review all entries and approve final setup

• Ensure they are authorized to manage the business account

Failure to provide materials in a timely manner may delay service or result in cancellation.

3. No Guarantee of Rankings or Visibility

The Client understands and agrees that:

• Google determines search rankings independently, based on relevance, proximity, reviews, and its own algorithm

• The Business Club Inc. does not and cannot guarantee first-page placement, local map rankings, or increased visibility

• Ranking fluctuations are common and outside Provider’s control

• Future performance is affected by competition, customer reviews, algorithm changes, and user behavior

This is a setup/optimization service only, not a guarantee of future search performance.

4. Payment Terms

• Full payment is due before service begins

• This is a non-refundable, one-time service once work has started

• Any added services (such as ongoing GBP management or reputation building) are billed separately

5. Turnaround Time

Standard turnaround is 14 business days, depending on responsiveness and account verification requirements.

Google verification (via postcard, phone, or email) may delay final activation and is outside Provider's control.

6. Third-Party Platform Disclaimer

Google Business Profile is a third-party service owned and operated by Google. The Business Club Inc. is not affiliated with Google, and is not responsible for:

• Google account suspension

• Changes in platform features, categories, or ranking algorithms

• Delays in verification or profile publishing

7. Limitation of Liability

Provider is not liable for:

• Loss of business, clients, or reputation due to GBP performance

• Changes made by Google after setup

• Negative reviews or content beyond the Provider’s control
  Maximum liability is limited to the amount paid by the Client.

8. Intellectual Property & Access

All optimization content (e.g., descriptions, service copy) remains the intellectual property of The Business Club Inc. unless otherwise agreed.
The Client maintains control of the Google Business account after setup. Any future access granted to Provider for maintenance must be explicitly authorized in writing.

9. Termination

This is a one-time service. However, either party may terminate the agreement in writing prior to the start of work.

• If work has not begun, a refund may be issued minus a $75 administrative fee

• If work has begun, the service is non-refundable

10. Confidentiality

Both parties agree to keep confidential any shared credentials, business details, and proprietary strategies.

11. Governing Law

This agreement is governed by the laws of the Commonwealth of Virginia, with legal disputes resolved in Chesapeake, VA.
