Corporate Culture Temperature Check™
TBC Inc.
Effective Date: The date the Client submits payment and accepts these Terms and Conditions in full.
By submitting payment for the Corporate Culture Temperature Check™ from TBC Inc. (“TBC Inc.”), the purchaser (“Client”) agrees to the following Terms and Conditions. Submission of payment constitutes binding acceptance of these terms in full.
1. Program Overview
The Corporate Culture Temperature Check™ is a one-time diagnostic service designed to assess the internal culture health of an organization through data collection, analysis, and expert interpretation. It is intended as a stand-alone insight tool and does not include culture transformation or ongoing consulting unless separately contracted.
2. Program Components
The Client will receive the following services:

Anonymous Employee Survey
Customized digital survey sent to employees to capture honest feedback and internal sentiment.

Culture Grade Report (A–F)
An evaluative report scoring the organization’s cultural health with key findings, strengths, and gaps.

Actionable Recommendations
A summary of strategic next steps the Client can take internally to address identified concerns.

Executive Strategy Debrief
A one-time session with a TBC Inc. senior consultant to review results and answer clarifying questions.
TBC Inc. reserves the right to revise or enhance components for quality and accuracy. These updates do not constitute grounds for refund or cancellation.
3. Payment Terms
The program is a one-time fee, invoiced and payable in full prior to the start of services.
No services will be rendered until payment is received in full.
Once payment is received and services begin, all payments are final and non-refundable.
4. Cancellation Policy
This is a flat-fee diagnostic service. Once initiated, it cannot be paused or canceled. There are no partial refunds for unused portions. If the Client fails to participate or complete intake steps, the program will still be considered delivered once surveys and reports are issued.
5. Client Responsibilities
The Client agrees to:

Provide a timely and accurate internal contact list for survey distribution

Ensure employee participation is encouraged (though anonymous)

Participate in the executive debrief session

Review and accept the diagnostic report findings in good faith
The effectiveness of this program depends on honest employee responses and full cooperation by leadership. TBC Inc. is not responsible for limited insights due to low response rates or internal nonparticipation.
6. Confidentiality
TBC Inc. will maintain strict confidentiality of all employee feedback, organizational data, and Client-specific insights. No results will be shared outside the organization without the Client’s written permission.
The Client agrees not to share, distribute, or publish TBC Inc.’s proprietary survey formats, reporting layouts, or consultant notes without express written consent.
7. Intellectual Property
All reports, frameworks, templates, and materials provided remain the intellectual property of TBC Inc. These may not be modified, resold, or distributed beyond the Client’s internal use without written permission.
8. Indemnification
The Client agrees to indemnify and hold harmless TBC Inc. from any claims, liabilities, or damages arising from:

Misuse of data or survey results

Actions taken (or not taken) in response to recommendations

Employee reactions or internal tensions following disclosure of results

Incomplete or inaccurate data provided by the Client
9. Limitation of Liability
TBC Inc. shall not be liable for:

Organizational outcomes following the delivery of diagnostic results

Any decisions made by the Client based on the Culture Grade Report

Internal disputes or employee dissatisfaction resulting from survey use or results
Total liability is limited to the amount paid by the Client for this program.
10. Governing Law
These Terms & Conditions shall be governed by the laws of the Commonwealth of Virginia.
Any disputes shall be resolved in the appropriate courts located in Chesapeake, Virginia.
By submitting payment, the Client confirms full acceptance of these Terms and Conditions and waives any claim of non-agreement, misinterpretation, or misrepresentation.
