Terms and Conditions for Logo Design Services

The Business Club Inc.
Effective Date: Date of Purchase 

1. Scope of Services

The Business Club Inc. (“Provider”) agrees to create a custom logo design for the Client based on their submitted preferences, business name, and branding direction. This service includes:

• Initial design concepts (1–2 options based on package)

• Up to 5 revisions (standard: 3 revisions unless otherwise stated)

• Final files provided in standard formats (e.g., PNG, JPG, PDF, SVG or AI)

• Delivery of logo in full color, black & white, and transparent background (if applicable)

This service does not include full branding packages, ongoing graphic design work, or trademarking unless explicitly contracted.

2. Client Responsibilities

Client agrees to:

• Provide clear design direction, colors, name(s), tagline(s), and style preferences before work begins

• Respond to drafts and revision requests within 5 business days

• Approve final design in writing before delivery of source files

• Verify spelling, names, and accuracy before sign-off

Failure to respond within the timeframe may delay or terminate the project.

3. Revisions & Redesigns

• Revisions are limited to the number specified in the selected package

• Additional revisions beyond that limit will incur a fee of $50 per round

• Major redesigns after approval of a concept may require a new agreement and payment

4. Payment Terms

• Full payment is due before any design work begins

• Once work has started, all payments are non-refundable, including partial work, concepts, or revisions

• Final logo files will not be delivered until the full payment and approval are received

5. Turnaround Time

Initial logo concepts are typically delivered within 7-10 business days, with revisions taking an additional 2–4 business days per round. Delays in client feedback will extend this timeline.

6. Ownership & Rights

• Upon final approval and full payment, the Client will receive exclusive rights to the final logo design only

• All unused concepts, drafts, or prior versions remain the intellectual property of The Business Club Inc.

• The Business Club Inc. reserves the right to display the final logo in its portfolio or promotional materials unless the Client requests otherwise in writing

7. No Guarantee of Legal Protection

The Business Club Inc. is not responsible for conducting trademark searches.
It is the Client’s responsibility to ensure the logo does not infringe upon existing trademarks or copyrights.

If requested, trademark filing services may be offered for an additional fee.

8. Limitation of Liability

Provider shall not be liable for:

• Business losses, missed deadlines, or reputation damage resulting from logo use

• Printing errors, reproduction issues, or misuse by third parties

• Trademark conflicts that arise after delivery

• Maximum liability is limited to the amount paid by the Client for the logo service.

9. Confidentiality

Both parties agree to keep design drafts, business strategy, and proprietary content confidential during and after the project.

10. Governing Law

This agreement is governed by the laws of the Commonwealth of Virginia, with disputes handled in Chesapeake, VA.
