TBC Inc.
Effective Date: The date the Client submits payment and accepts these Terms and Conditions in full.

By submitting payment for the Corporate Culture Development Initiativeā„¢ from TBC Inc. (ā€œTBC Inc.ā€), the purchaser (ā€œClientā€) agrees to the following Terms and Conditions. Submission of payment constitutes binding acceptance of these terms in full.


1. Program Overview

The Corporate Culture Development Initiativeā„¢ is a proactive consulting and implementation program designed to help startups and early-stage businesses build strong internal culture foundations. Services are focused on defining mission, vision, values, leadership expectations, internal communication systems, and hiring alignment to foster healthy team growth and sustainable company culture.


2. Program Components

The Client will receive the following deliverables as part of the program:

  • Foundational Culture Strategy Session
    One or more sessions to define the Client’s mission, vision, core values, leadership standards, and workplace culture expectations.

  • Core Values Rollout Plan
    A launch strategy to introduce and integrate company values across internal communications, branding materials, and employee engagement.

  • Hiring Alignment Playbook
    A customized guide to help the Client build a culture-first hiring and onboarding process that supports team cohesion and long-term success.

  • Communication & Feedback Systems
    Recommendations and system setup for performance feedback, team communication, praise, and accountability channels.

  • Culture Growth Milestones Tracker
    A strategic roadmap outlining the stages of culture development and indicators for growth, system updates, and scale-readiness.

Additional enhancements (e.g., on-site training, retreats, or extended consulting) may be offered at an additional charge and quoted separately.


3. Payment Terms

  • Full payment is due upfront before work begins.

  • No services will commence until payment is received and cleared.

  • All payments are final and non-refundable once work has started.


4. Cancellation Policy

  • There is no cancellation allowed once the project has begun.

  • If the project has not started and cancellation is requested within 48 hours of purchase, a partial refund may be considered at the discretion of TBC Inc.

  • No refunds will be issued due to changes in company direction, team availability, or internal delays by the Client.


5. Client Responsibilities

The Client agrees to:

  • Provide timely access to leadership and internal stakeholders

  • Participate fully in scheduled sessions and deliverable reviews

  • Respond to requests for information and approvals promptly

  • Implement the strategies, structures, and tools provided

The success of this program is dependent on Client action. TBC Inc. will deliver systems and guidance, but execution is the responsibility of the Client.


6. Implementation Disclaimer

TBC Inc. provides a proven structure and framework, but culture cannot be installed automatically. The Client understands and agrees that:

  • Implementation must be actively driven by the Client’s leadership

  • Culture clarity and alignment require internal participation and follow-through

  • TBC Inc. is not liable for lack of results where internal execution, enforcement, or participation is inconsistent or absent

This program lays the foundation. The Client must build upon it.


7. Confidentiality

TBC Inc. agrees to keep all Client information confidential, including mission documents, company plans, hiring strategies, and internal challenges discussed during consultation.

The Client agrees to maintain confidentiality over all proprietary tools, templates, and resources provided by TBC Inc., and to use them for internal purposes only.


8. Intellectual Property

All materials created or shared by TBC Inc. remain the intellectual property of TBC Inc. These may not be copied, distributed, or modified for use outside of the Client’s organization without written consent.


9. Indemnification

The Client agrees to indemnify and hold harmless TBC Inc. from any and all liability, claims, or damages resulting from:

  • Failure to implement recommendations

  • Misuse of provided materials

  • Internal team resistance, turnover, or employee disputes

  • Inaccurate or incomplete information provided to TBC Inc.


10. Limitation of Liability

TBC Inc. is not responsible for:

  • Internal organizational outcomes not directly managed by TBC Inc.

  • Team engagement, productivity, or leadership actions taken by the Client post-delivery

  • Business losses resulting from misuse or non-use of the program materials

Liability is limited to the amount paid by the Client for the program.


11. Governing Law

These Terms & Conditions shall be governed by the laws of the Commonwealth of Virginia.
Any disputes shall be resolved in the appropriate courts located in Chesapeake, Virginia.


By submitting payment, the Client confirms full acceptance of these Terms and Conditions and waives any claim of non-agreement or misrepresentation.
