Corporate Culture Optimization Program™
TBC Inc.
Effective Date: The date the Client submits payment and accepts these Terms and Conditions in full.

By submitting payment for the Corporate Culture Optimization Program™ from TBC Inc. (“TBC Inc.”), the purchaser (“Client”) agrees to the following Terms and Conditions. Submission of payment constitutes binding acceptance of these terms in full.


1. Program Overview

The Corporate Culture Optimization Program™ is an intensive organizational realignment program designed for companies experiencing toxic dynamics, high turnover, and internal dysfunction. This program delivers comprehensive diagnosis, executive recalibration, internal culture rebranding, and a full-scope implementation plan for rebuilding a healthy, high-functioning culture from the inside out.


2. Program Components

As part of the Corporate Culture Optimization Program™, the Client will receive the following deliverables:

  • Initial Employee Engagement Survey
    Anonymous, deep-dive insights to uncover internal pain points, trust gaps, and morale blockers.

  • Comprehensive Culture Audit
    Review of leadership behaviors, communication flows, accountability systems, conflict triggers, and retention risks.

  • Executive Alignment + Conflict Resolution Sessions
    Facilitated sessions to address leadership breakdowns and rebuild trust, tone, and role clarity.

  • Action Plan + Implementation Strategy
    Custom, phased action plan with rapid-response and long-term improvement steps. Weekly leadership check-ins are included.

  • Internal Culture + Values Rebrand
    Guidance to redefine company values, realign mission messaging, and establish a fresh internal identity.

  • Staff Morale + Retention Recovery Plan
    Tactical support to re-engage staff, restore motivation, and improve retention.

  • Leadership Tone + Trust Reset Training
    Targeted executive coaching focused on emotional intelligence, respect, and leadership integrity.

  • 6-Month Follow-Up Employee Survey
    A follow-up diagnostic to measure cultural improvement and sustain momentum.

  • Optional Bonus: HR Policy + Communication Refresh
    An add-on service to update internal policies, onboarding, and employee handbooks to match the new cultural direction.

TBC Inc. reserves the right to update, revise, or enhance program components at its sole discretion to improve effectiveness or maintain program relevance. Such modifications do not void these terms and do not constitute grounds for cancellation.


3. Pricing & Headcount

Some programs, including this one, are priced based on company headcount and the scope of services provided. Each offer includes a base employee count, with incremental pricing applied for additional employees.

Clients are responsible for reviewing the final written offer, which is binding, to confirm the total program cost based on their employee size.

Headcount is assessed during onboarding and may be reverified during the program term. TBC Inc. reserves the right to adjust total pricing in alignment with the verified employee count.


4. Payment Terms

Full payment is required in advance of any services being rendered. All programs are invoiced and payable in full prior to commencement, including any phased or extended engagements.


5. Cancellation Policy

Cancellations require a minimum of sixty (60) days’ written notice. Cancellations are only processed at the end of the month in which the notice is received. The 60-day notice period will begin on the first day of the following month, resulting in a minimum of two full billing cycles’ notice before program conclusion. Mid-month cancellations are not accepted.


6. Client Responsibilities

The success of this program depends on the Client’s full participation. The Client agrees to:

  • Grant timely access to leadership, employees, and internal communications

  • Engage in all required sessions and strategy reviews

  • Follow the action plans, communications, and adjustments recommended by TBC Inc.

  • Empower their team to follow the new frameworks provided

Failure to participate may significantly limit program effectiveness. TBC Inc. will not be held responsible for incomplete or partial implementation due to internal resistance or delays.


7. Implementation Disclaimer

TBC Inc. provides a proven framework for culture improvement. However, results depend heavily on the Client's execution.

The Client understands and agrees that:

  • Management must enforce participation and accountability

  • Employees must engage with the culture systems and respect the new standards

  • TBC Inc. is not liable for lack of cultural improvement if recommendations are ignored or partially implemented

Organizational culture cannot be shifted passively — consistent leadership participation is required for results. TBC Inc. delivers the structure, strategy, and tools. Execution lies with the Client.


8. Confidentiality

TBC Inc. will maintain confidentiality over all sensitive company data, employee feedback, and strategic insight shared during the engagement.

Likewise, the Client agrees to keep all proprietary tools, templates, and systems provided by TBC Inc. confidential and use them solely within their organization.


9. Intellectual Property

All content, resources, frameworks, and systems provided remain the exclusive intellectual property of TBC Inc. and may not be copied, sold, published, or used outside of the Client’s organization without written consent.


10. Indemnification

The Client agrees to indemnify and hold harmless TBC Inc. from any claims, liabilities, or damages resulting from:

  • Failure to implement strategies

  • Misuse of materials

  • Internal conflict, turnover, or miscommunication not caused directly by TBC Inc.

  • Decisions made independently by company leadership

This indemnification clause survives program completion.


11. Limitation of Liability

TBC Inc. shall not be liable for:

  • Business outcomes following implementation (e.g., attrition, HR disputes, loss of clients)

  • Lack of cultural change due to internal non-compliance

  • Any direct or indirect losses not arising from gross negligence by TBC Inc.

Total liability is limited to the amount paid by the Client for the program.


12. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by the laws of the Commonwealth of Virginia.
Any disputes shall be resolved in the appropriate courts located in Chesapeake, Virginia.


By submitting payment, the Client confirms full acceptance of these Terms and Conditions and waives any claim of non-agreement, misunderstanding, or misrepresentation.
